Terms of Use Agreement

Please read these terms carefully before accessing or using Clarvio.

Effective date: July 3, 2026

1. Introduction

This Terms of Use Agreement ("Agreement") is a binding contract between you ("User", "you", or "your") and Abstract IT Group LLC ("Clarvio", "we", "us", or "our"). It governs your access to and use of our platform, products, and services. By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and by our Privacy Policy. If you do not agree, you must not use the Platform.

2. Definitions

  • "Platform" means https://www.clarvio.tech, together with any Clarvio web applications, mobile applications, dashboards, and APIs.
  • "Services" means the AI-powered fleet and freight operations tools we provide, including dispatch automation, load and document processing, tracking, ETA prediction, communications, and analytics.
  • "User" means the registered business or individual — such as a carrier, broker, dispatcher, or fleet operator — that accesses the Platform.
  • "Account" means the credentials and profile created to access the Services.

3. Eligibility & Acceptance

You must be at least 18 years old and acting on behalf of a business or legal entity that you are authorized to represent. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. Completing registration constitutes your full acceptance of this Agreement. If you do not agree with any part of it, you must not register for or use the Platform.

4. Services & Usage

You are responsible for maintaining accurate account information and for keeping your credentials secure. You are responsible for all activity that occurs under your Account. Subject to this Agreement, Clarvio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

You agree that you will not:

  • reverse engineer, decompile, or attempt to extract the source code of the Services;
  • scrape, crawl, or harvest data from the Platform by automated means without consent;
  • interfere with or disrupt the integrity or performance of the Services;
  • upload malicious code or attempt to gain unauthorized access to any system;
  • resell, sublicense, or white-label the Services without our specific written consent.

Paid subscriptions are governed by their own plan terms presented at the point of purchase. Use of our mobile applications is additionally subject to the terms and guidelines of the relevant app store (such as the Apple App Store or Google Play).

5. Compliance & Consent

Clarvio is designed to operate across multiple regulatory frameworks. Where applicable:

  • GDPR: we process personal data on a lawful basis and support the rights of data subjects located in the European Union and United Kingdom.
  • Regional data protection: we align our practices with applicable data protection laws in the jurisdictions where our Users operate.
  • A2P 10DLC (United States): automated or bulk messaging is sent only where you have obtained the necessary consent from recipients, and you remain responsible for that consent.
  • EU AI Act: where optional AI features are used, we aim to provide appropriate transparency about their function and limitations.
  • Location data: our mobile applications may collect location data to support tracking and ETA features, subject to your and your drivers' consent and protected in transit and at rest.

6. Data, Privacy & Cookies

We collect business and personal data to deliver, secure, and improve the Services. Our use of cookies and similar tracking technologies helps operate the Platform and enhance AI functionality. Users in the EU and other applicable regions can manage their preferences through our consent mechanisms. You retain all rights to the data you submit, and our handling of it is described in full in our Privacy Policy.

7. Intellectual Property

All rights to the Platform, AI systems, models, branding, backend logic, software, and content belong to Abstract IT Group LLC or its licensors and are protected by intellectual property laws. You may not resell, redistribute, or white-label the Services without a specific license from us. Nothing in this Agreement transfers ownership of any part of the Platform to you.

8. Disclaimers & Limitation of Liability

The Platform and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure, accurate, or error-free.

To the maximum extent permitted by law, Clarvio shall not be liable for lost revenue, missed freight, business interruption, or any indirect, incidental, special, consequential, or punitive damages, including those arising from AI-generated outputs or errors. You are solely responsible for any decisions you make based on data or recommendations provided by the Platform.

9. Termination

We may suspend or terminate your access to the Services at any time if you violate this Agreement or use the Platform in a manner that may harm Clarvio, other Users, or third parties. You may close your Account at any time by providing written notice to oybek@clarvio.tech. Upon termination, your right to use the Services will immediately cease.

10. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Republic of Uzbekistan, together with any applicable federal and international law, without regard to conflict-of-law principles. Users located in the European Union, United Kingdom, and other regions may additionally be entitled to consumer protections available under the laws of their home jurisdiction.

11. Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will notify you by posting the updated Agreement on this page and revising the effective date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Agreement.
